1. General:
These conditions apply to all agreements between Hollands Klompenhuis (hereinafter 'Seller') and a third party (hereinafter 'Buyer'), as well as to any offer made by Seller.
2. Offers and orders:
a. All offers are submitted without any obligation on the part of the Seller, unless otherwise stated in writing.
b. Orders can be confirmed in writing by the Seller. The Buyer should submit any objections against such order confirmation in writing to the Seller within 5 days of order confirmation.
c. In the absence of the abovementioned, both parties are bound by the contents of the order confirmation and obligations of each party are indicated. Images, catalogues and drawings only give a general depiction of any products available from the Seller. Sizes, weights or technical details in the broadest sense of the word are guaranteed as an approximate only, unless explicitly stated in writing. Normal variations, permissible within the industry, are allowed.
3. Prices:
Our prices are from € 250 net commodity prices, free delivery in the Netherlands only; for consignments under € 250 net commodity prices, a surcharge of € 6,50 will be added. Charges for consignments outside the Netherlands are automatically charged according to weight and location.
4. Delivery:
a. Delivery times as indicated by the Seller are always approximate. An agreed delivery date cannot be taken as definite. Every effort will be made to deliver the order on the agreed date or within the agreed time frame. A delay in the delivery of the order gives the buyer neither the right to cancel the agreement nor the right to any compensation. The Seller must always be given the opportunity to deliver within a reasonable time frame, depending on the individual circumstances. b. The Seller reserves the right to deliver in batches and to invoice accordingly.
c. The Seller reserves the right to deliver up to 10% over or under the quantity ordered and to charge the buyer accordingly. This only applies to printed products.
d. We try to deliver your order within 10 working days.
5. Complaints:
Any complaints, or exchanges must be made known to the Seller within 24 hours of receipt of the goods, preferably by email. In this case, the goods, under penalty of lapse of time, can be returned to us, free of charge, within 7 workdays of the date of delivery. The purchase price minus shipping costs will be refunded within 30 days. The buyer is obliged to check the goods on receipt for any defects.
6. Payment:
a. Payment is to be effected in cash and without discount, except where the Seller has indicated otherwise either on the invoice or in another written statement of payment conditions. If a credit term is agreed, payment is to be made within this term.
b. If the Buyer fails to pay on the due date, the Buyer will be formally in arrears. The total amount outstanding will be immediately due and become payable to the Seller without the requirement for an additional notice of default.
c. Any discounts indicated will then be cancelled and the Buyer will be liable to pay the Seller interest amounting to 1% per month or part thereof.
Furthermore, the Buyer will be liable for all costs, both judicial and extrajudicial, which the Seller has to incur in order to receive payment in full.
7. Transfer of property:
All goods remain the property of the Seller until all current and future claims, on any account and including interest and debt collection charges, are settled in full.
8. Applicable law:
a. All offers from the Seller, all agreements made between Seller and Buyer and/or resulting further agreements, are subject to the laws of the Netherlands.
b. All disputes between Buyer and Seller will be settled exclusively by the court in whose jurisdiction the Seller is registered, except for compelling legal provisions.
